Terms of Service

The terms that govern your use of Tention.

Agreement

These terms are between you and The Munna Co Pty Ltd (ABN 14 660 483 581), the operator of Tention ("Tention", "we", "us"). By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.

Eligibility

You must be 18 or over to use Tention. The service is not available to United States healthcare practitioners and must not be used with United States Protected Health Information (PHI). We are not a HIPAA Covered Entity or Business Associate, we do not enter Business Associate Agreements, and we may suspend accounts that use the service with US PHI.

By using the service you represent and warrant that you are not a United States healthcare provider, health plan or healthcare clearinghouse (or a business associate of one) acting in that capacity, and that you will not upload, transmit or process any US PHI through the service. You are responsible for any breach of this representation.

The service

Tention helps you find things to say, record video, refine it, run an optional check of your recording against guidelines you write, and publish or schedule it. It is a tool for research and creation. It is provided on a best-effort basis and, during early access, without any uptime, availability or support guarantee beyond what the law requires.

Your content and intellectual property

You keep ownership of the content you create and the guidelines you write. You grant us a limited, non-exclusive, royalty-free licence to host, process and display that content solely to provide the service to you. We do not use your content to train AI models. You are responsible for the content you record and the guidelines you author, and for ensuring you have the rights to them.

The brand check

The brand check is a self-review tool. When you ask it to, it searches the transcript of your recording for words and phrases that match the guidelines you have written, and shows you where they appear. That is all it does.

It does not assess whether your content is lawful, accurate, suitable, compliant, or appropriate; it does not provide or recommend guidelines; it does not certify, verify or confirm compliance with any law, standard, or professional or regulatory obligation; and it does not give legal, financial, medical, professional or any other advice.

A result that shows no matches does not mean your content is compliant, complete, lawful, or fit to publish. It means only that the tool did not find text matching the guidelines you wrote. The matching is limited and can miss relevant passages (false negatives) or surface immaterial ones. You must not rely on a brand-check result in place of your own review or professional judgment. You are solely responsible for your content, your guidelines, and your decision to publish. The standing notice "AI-assisted review against your guidelines. Always review before posting." applies to the feature.

Acceptable use

You agree not to use Tention unlawfully, to upload US PHI, to infringe others' rights, to upload harmful or illegal content, or to interfere with or misuse the service.

Fees and billing

Where paid features apply, fees, billing cycles and payment terms will be presented to you before purchase and handled through our payment processor. Taxes may apply.

Disclaimers

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those consumer guarantees or any other right or remedy you have under a law that cannot lawfully be excluded. The disclaimers and limitations in these terms apply only to the extent the law allows.

Subject to that, and to the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind.

Limitation of liability

Nothing in this clause limits liability that cannot be limited under the Australian Consumer Law or other applicable law.

Where the Australian Consumer Law applies and permits a supplier to limit liability for failure to comply with a consumer guarantee in respect of services, our liability for that failure is limited, at our option, to resupplying the services or paying the cost of having the services resupplied.

Subject to the above, and to the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to the service is limited to the greater of (a) the fees you paid us in the 12 months immediately before the first event giving rise to the claim, or (b) AUD $1,000. We are not liable for any indirect, incidental, special, punitive or consequential loss, or for any loss of profits, revenue, anticipated savings, or goodwill, or for loss of data except to the extent it is caused by our breach or negligence, whether the liability arises in contract, tort (including negligence), statute or otherwise.

These limits do not apply to liability for fraud, wilful misconduct, or gross negligence. "Gross negligence" means a serious disregard of, or serious indifference to, an obvious risk to a person or property, going significantly beyond ordinary negligence.

Indemnity

You agree to indemnify us against third-party claims, and our reasonable costs, to the extent they arise from your content or guidelines, your unlawful use of the service, or your breach of these terms, except to the extent the claim arises from our own breach of these terms, negligence or wilful misconduct, and except where, and to the extent, the law does not permit such an indemnity.

Termination

You may stop using the service and close your account at any time. We may suspend or terminate access on reasonable notice, or immediately for breach of these terms, use with US PHI, use by anyone under 18, or to protect the security or integrity of the service. On closure, your data is handled as described in the Privacy Policy.

Governing law and jurisdiction

These terms are governed by the laws of Victoria, Australia.

If you are a consumer, you may bring proceedings in the courts of Victoria or in any court that the mandatory law of your country of residence entitles you to use, and nothing in these terms removes your right to the mandatory consumer protections, or the courts, of your place of residence. For all other users, you and we submit to the exclusive jurisdiction of the courts of Victoria, Australia.

If you are a consumer in the EU, EEA or UK, you keep the benefit of any mandatory protections of your local law, and this clause does not deprive you of the protection of provisions that cannot be derogated from by agreement under that law.

Severability

If any provision of these terms is held invalid or unenforceable, it is to be read down to the minimum extent necessary to make it valid or, if it cannot be, severed, and the remaining provisions continue in full force.

Survival

The sections headed "Your content and intellectual property", "The brand check", "Disclaimers", "Limitation of liability", "Indemnity", "Governing law and jurisdiction", and this section survive termination or expiry of these terms.

Entire agreement

These terms, together with the Privacy Policy, are the entire agreement between you and us about the service and replace any earlier representation or agreement. You have not relied on any representation not set out here. Nothing in this section limits liability for fraud or any liability or right that cannot be excluded under the Australian Consumer Law (including the prohibition on misleading or deceptive conduct).

Changes to these terms

We may update these terms as the product and the law evolve. The "last updated" date above reflects the current version, and we will give notice of material changes. If a change materially and adversely affects you, you may close your account before it takes effect; continuing to use the service after it takes effect means you accept the updated terms.
